Terms & Conditions, Acceptable Use Policy, and Billing Terms

Holistic Solutions, Inc. provides this combined Terms & Conditions, Acceptable Use Policy (AUP), and Billing Terms document (collectively, the “Agreement”). Continued payment for and use of any service constitutes your ongoing acceptance of this Agreement.
SECTION 1 – GENERAL TERMS OF SERVICE
1. Modifications to This Agreement
Holistic Solutions may modify these Terms at any time. Updates will be posted at this URL. Continued use of services constitutes acceptance. Statements made by third parties or resellers do not modify this Agreement.
2. Domain Registration
Domain registrations are non-refundable once submitted to the registrar. Promotional “free domain” offers may incur a domain retention fee if hosting is canceled within the first billing cycle.
3. Account Security
You are responsible for all use of your account, authorized or unauthorized. Holistic Solutions is not liable for losses resulting from compromised credentials. You may be held liable for losses incurred by Holistic Solutions or others due to unauthorized access through your account.
4. Lawful and Acceptable Use
You may not use the services for unlawful activities, violations of applicable law, or activities that endanger the network, other customers, or third parties. Holistic Solutions may review usage and suspend or terminate accounts at its discretion.
5. Third-Party Software
Holistic Solutions is not responsible for the functionality, security, licensing, or performance of any third-party scripts, themes, modules, or integrations used by the customer.
6. Responsibility for Minors
If you permit a minor to use the services, you accept full responsibility for all resulting activity and consequences.
7. Intellectual Property
All rights, title, and interest in Holistic Solutions software, content, and services remain the sole property of Holistic Solutions or its licensors.
8. Customer Representations
By using any service, you represent and warrant that you have the legal authority to do so and that your use does not infringe on the rights of any third party.
9. Disclaimer of Warranties
Services are provided “AS IS” and “AS AVAILABLE.” Holistic Solutions makes no warranties regarding uptime, performance, error-free operation, or fitness for a particular purpose.
10. Privacy and Data Protection
You are responsible for complying with applicable data-protection laws (e.g., GDPR, CCPA). You must have a lawful basis for any personal data you store or process.
11. DMCA Compliance
Holistic Solutions may remove or disable access to content in accordance with the DMCA upon receipt of proper notice.
12. Backups and Data Protection
Holistic Solutions may perform routine backups of shared hosting accounts, but such backups are not guaranteed. VPS, dedicated, and colocated customers are responsible for their own backups unless separately purchased.
13. Data Retention
Data may be permanently deleted once an account becomes inactive or is terminated.
14. Email Retention and Filtering
Spam and virus filtering are provided on a best-effort basis. Quarantined email may be deleted after a reasonable period. Undownloaded email in abandoned accounts may be purged.
15. Accurate Information and Notices
You must provide true, current, and accurate contact and billing information and update it promptly. Holistic Solutions may send notices to the email or postal address on file. Notices from you must be sent by certified U.S. mail to:

SECTION 2 – ACCEPTABLE USE POLICY (AUP)
16. No Spam; Liquidated Damages
Holistic Solutions has a zero-tolerance policy for spam, including UCE/UBE and unsolicited messaging of any kind. Accounts involved in spam may be terminated immediately.
If damages cannot be reasonably calculated, you agree to liquidated damages of $1 per unsolicited message, or actual damages, whichever is greater.
17. Security and Network Abuse
Prohibited activities include hacking, unauthorized access, malware distribution, DoS attacks, port scanning, and interference with network stability.
18. Resource Abuse
Excessive use of CPU, memory, disk I/O, or bandwidth that degrades system performance may result in throttling, limitation, suspension, or termination.
19. Prohibited Content
You may not store or transmit content that is illegal, infringing, harmful to minors, fraudulent, or otherwise prohibited by law.
20. High-Risk Activities
Services are not designed for use in medical, emergency, aerospace, life-support, or other critical systems where failure could result in injury or death.
SECTION 3 – BILLING, PAYMENTS, REFUNDS, TERMINATION
21. Billing Practices
Services are billed in advance. No refunds are issued for services not canceled, regardless of usage.
22. Automatic Renewal
By maintaining an active service, you authorize Holistic Solutions to automatically bill your stored payment method until canceled in accordance with this Agreement.
23. Late Fees and Overage Charges
Late invoices may incur a late fee up to 10%. Bandwidth and disk overages may be automatically billed.
24. Chargebacks
Filing a chargeback on valid charges constitutes a breach of this Agreement. Holistic Solutions may assess fees, suspend service, or pursue collection.
25. Customer Cancellation
Cancellation requests must be received no earlier than 10 days prior and no later than 3 business days before your billing date. No prorated refunds.
26. Collections
You are responsible for all reasonable collection costs, including attorney fees.
SECTION 4 – LIABILITY, INDEMNIFICATION, DISPUTE RESOLUTION
27. Limitation of Liability
To the maximum extent permitted by law, Holistic Solutions shall not be liable for indirect, incidental, punitive, or consequential damages of any kind. Total liability shall not exceed the amount paid in the preceding three months.
28. Indemnification
You agree to indemnify and hold harmless Holistic Solutions from all claims arising from your use of the services, your content, your violations of law, or your infringement of third-party rights.
29. Arbitration and Waiver of Class Actions
Except for claims relating to unpaid fees or intellectual property, disputes shall be resolved by binding arbitration under AAA Commercial Rules. Proceedings must occur on an individual basis; class actions are waived.
30. Governing Law and Venue
North Carolina law governs this Agreement. For non-arbitrable matters, venue lies in Buncombe County courts or the nearest appropriate federal court.
31. Severability, Waiver, Entire Agreement
Invalid provisions shall be interpreted in accordance with applicable law while preserving intent. Failure to enforce a provision is not a waiver. This Agreement is the complete agreement between the parties.
32. Security and Business Insurance
Holistic Solutions does not guarantee security of your site, email, or data. You assume all risks of compromise, hacking, malware, or DoS attacks unless a separate signed security plan states otherwise. If your business relies on hosted services, you must maintain appropriate business insurance.
33. Force Majeure
Holistic Solutions is not liable for delays or failures caused by factors beyond reasonable control, including outages, equipment failure, power loss, strikes, natural disasters, war, or actions of third parties.
34. No Third-Party Beneficiaries
This Agreement creates no rights for any third party, including your customers or users. Holistic Solutions shall have no liability to third parties arising from your use of the services.
